1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (the "User", "Client", or "you") and ReliaBull Financial Services Private Limited ("ReliaBull", "Company", "we", "us", or "our"), a AMFI-registered Mutual Fund Distributor (ARN-88227), with its registered office at No 4-D, 4th Floor, Victoria Plaza, Santacruz West, Mumbai - 400054, Maharashtra, India. These Terms govern your access to and use of the Website at www.reliabullwealth.com and all services, features, tools, and content made available through it (collectively, the "Services").

These Terms are subject to change at our discretion. We will notify you of material changes through the Website or via email. Your continued use of the Website after such notification constitutes acceptance of the revised Terms.

2. Regulatory Status and Disclaimers

ReliaBull Financial Services Private Limited is registered with the Association of Mutual Funds in India (AMFI) as a Mutual Fund Distributor. We are NOT a SEBI-registered Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013. Accordingly:

3. Eligibility and Account Registration

3.1 Eligibility Criteria

To use the Services on this Website, you must:

• Be a natural person aged 18 (eighteen) years or above, or a Hindu Undivided Family (HUF), company, LLP, trust, society, or other legal entity duly constituted under applicable Indian laws;
• Have the legal capacity and authority to enter into a binding contract under the Indian Contract Act, 1872;
• Not be barred, restricted, or prohibited by any regulatory order, court order, or applicable law from accessing financial services in India;

ReliaBull Financial Services Private Limited reserves the right to refuse registration, suspend, or terminate any account at its discretion, without assigning reasons, including for suspected fraud, regulatory non-compliance, or breach of these Terms.

3.3 KYC Compliance

All transactions through the Website are subject to completion of KYC formalities as mandated by SEBI, AMFI, and applicable law. You authorize ReliaBull Financial Services Private Limited to verify your identity and financial information with KRAs, credit bureaus, and other agencies. KYC status is non-transferable and specific to the investor category.

4.1 Mutual Fund Distribution

Through the Website, ReliaBull Financial Services Private Limited facilitates the distribution of mutual fund schemes from empanelled AMCs. Services include:

• Investment in Regular Plans of mutual fund schemes across equity, debt, hybrid, liquid, ELSS (tax-saving), ETFs, and other categories;
• Processing of Systematic Investment Plans (SIPs), Systematic Withdrawal Plans (SWPs), and Systematic Transfer Plans (STPs);

4.2 Financial Planning Tools

ReliaBull Financial Services Private Limited is not responsible for decisions made based on such tools.

5. Payment Terms

All financial transactions are processed through RBI-approved and SEBI-compliant payment mechanisms including NACH (National Automated Clearing House), UPI, net banking, and other electronic modes. The following terms apply:

• Payments are processed in Indian Rupees (INR) unless otherwise specified.
• SIP instructions via NACH mandate are governed by NPCI rules and the terms of your bank.
• Transaction confirmation is subject to successful payment clearance and acceptance by the respective AMC.
• In case of payment failure after fund debit, the amount will be refunded to the source account within 5-7 working days, subject to bank processing timelines.
• ReliaBull Financial Services Private Limited does not hold client funds. All investment amounts are credited directly to the respective mutual fund scheme/AMC collection accounts.
• ReliaBull Financial Services Private Limited reserves the right to decline or reverse transactions if fraudulent activity, insufficient KYC, or regulatory non-compliance is suspected.

6. User Conduct and Prohibited Activities

By using the Website, you agree to comply with all applicable laws, regulations, and these Terms. You specifically agree that you shall NOT:

• Use the Website for any unlawful purpose or in violation of any local, national, or international law or regulation;
• Engage in money laundering, terrorist financing, or any activity that violates the PMLA or other anti-financial crime laws;
• Provide false, misleading, or fraudulent information during registration or any transaction;
• Attempt to gain unauthorized access to any part of the Website, other user accounts, or our backend systems;
• Use automated scripts, bots, scrapers, or crawlers to access the Website without our prior written consent;
• Introduce viruses, malware, trojans, ransomware, or any malicious code to the Website or our systems;
• Interfere with or disrupt the integrity or performance of the Website or any connected infrastructure;

• ReliaBull Financial Services Private Limited aggregate liability in any case shall not exceed the transaction fees or charges paid by you in the preceding three calendar months.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Indian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReliaBull Financial Services Private Limited, its directors, officers, employees, partners, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, penalties, judgments, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your infringement of any third-party rights including intellectual property rights; or
• Any fraud, wilful misconduct, or negligence on your part.

11. Termination and Suspension

• Breach of these Terms or any applicable law;
• Regulatory direction or court order;
• Fraud, identity theft, or suspicious transaction patterns;

• Voluntary closure of the account upon your written request.

Upon termination, your pending transactions will be processed in accordance with applicable AMC and RTA policies. Your existing investment holdings in mutual fund folios will not be affected they will remain with the respective AMC/RTA. You may continue to access your investments directly through AMC portals, RTAs (CAMS, KFintech), or via AMFI's Mutual Fund Utilities (MFU) platform.

12. Force Majeure

ReliaBull Financial Services Private Limited shall not be held liable for any delay, failure, or disruption in Services caused by circumstances beyond its reasonable control, including acts of God, flood, earthquake, storm, pandemic, epidemic, government action, war, terrorism, civil unrest, power outages, internet disruptions, exchange trading halts, SEBI or RBI directives, or any other event of force majeure. We will endeavour to restore Services as quickly as practicable and will notify users of significant disruptions through the Website and registered email.

14. Governing Law, Dispute Resolution, and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the parties agree to submit the dispute to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator to be appointed by mutual consent. The arbitration proceedings shall be conducted in English and the seat of arbitration shall be Mumbai, Maharashtra, India.

Nothing herein shall prevent either party from seeking interim or urgent relief from a court of competent jurisdiction in Mumbai, Maharashtra.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and ReliaBull Financial Services Private Limited with respect to the use of the Website and supersede all prior agreements, representations, and understandings.

15.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ReliaBull Financial Services Private Limited.

15.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. ReliaBull Financial Services Private Limited may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Language

These Terms are executed in the English language. In the event of any conflict between the English version and any translated version, the English version shall prevail.
